HeroERP Terms of Service

By creating an account, clicking "I Agree," or using any part of the HeroERP platform, you ("Customer," "you") agree to these Terms of Service ("Terms"). If you are accepting on behalf of a company or organization, you represent that you have authority to bind that entity. If you do not agree, do not create an account or use the platform.

HeroERP is a cloud-based manufacturing ERP platform provided by MetalMind LLC and accessible at app.heromerp.com. The platform includes job management, quoting, scheduling, quality/compliance tools, NC program management, and related features. Additional software components (such as the NC Connector Windows service) are governed by these Terms plus any component-specific license agreement, which is incorporated herein by reference.

You must provide accurate, complete information when creating an account. You are responsible for maintaining the confidentiality of your login credentials. You are responsible for all activity that occurs under your account. You must notify us immediately of any unauthorized access at info@heroerp.net. One account per shop/organization. You may invite team members as users under your account.

HeroERP is a subscription service billed on a recurring basis. By subscribing, you authorize MetalMind LLC to charge your payment method on the schedule disclosed at signup. All fees are non-refundable except as required by applicable law or as expressly stated in these Terms. We reserve the right to change pricing with 30 days' written notice. Continued use after the effective date constitutes acceptance of the new pricing. Failure to pay may result in suspension or termination of your account.

You agree not to: Use HeroERP for any unlawful purpose Attempt to reverse engineer, decompile, or extract source code from the platform Interfere with or disrupt the platform's infrastructure or other customers' use Upload malicious code, viruses, or harmful data Share your account credentials with parties outside your organization Use the platform to store or transmit data that infringes third-party intellectual property rights

You retain ownership of all data you upload or generate in HeroERP ("Customer Data"). MetalMind LLC will not sell your Customer Data to third parties. MetalMind LLC may access your Customer Data only to provide support, investigate issues, or as required by law. You are responsible for ensuring your use of HeroERP complies with applicable data protection laws. Upon account termination, your Customer Data will be retained for 30 days and then deleted unless you request an export before that period.

Installation and use of the HeroERP NC Connector Windows service is subject to the NC Connector End User License Agreement presented during installation. That agreement is incorporated into these Terms. In the event of a conflict between the NC Connector EULA and these Terms, these Terms control.

MetalMind LLC owns all rights, title, and interest in the HeroERP platform, including all software, interfaces, documentation, and trademarks. These Terms grant you a limited, non-exclusive, non-transferable license to use the platform solely for your internal business operations. Nothing in these Terms transfers any ownership of HeroERP to you.

MetalMind LLC will make commercially reasonable efforts to maintain platform availability. We do not guarantee uninterrupted, error-free service. Support is provided via info@heroerp.net.

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. METALMIND LLC DOES NOT WARRANT THAT THE PLATFORM WILL MEET YOUR REQUIREMENTS OR OPERATE WITHOUT INTERRUPTION OR ERROR.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, METALMIND LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, PRODUCTION TIME, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF HEROERP, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO METALMIND LLC IN THE 12 MONTHS PRECEDING THE CLAIM.

You may cancel your account at any time from your account settings. MetalMind LLC may suspend or terminate your account immediately for material breach of these Terms, non-payment, or conduct that endangers the platform or other customers. Upon termination, your license to use the platform ends immediately.

We may update these Terms from time to time. We will notify you by email or in-app notice at least 14 days before material changes take effect. Continued use after the effective date constitutes acceptance.

These Terms are governed by the laws of the State of Maryland, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Maryland / Washington County, and both parties consent to that jurisdiction.
